Documents Required
To register a Limited Liability Partnership (LLP) in India, you need to collect documents for the partners, the proposed LLP, and its registered office. All forms are submitted digitally on the Ministry of Corporate Affairs (MCA) portal, so Digital Signature Certificates (DSC) are mandatory for the designated partners.
Documents required for each partner
- PAN Card: A Permanent Account Number (PAN) card is the primary identity proof for Indian nationals.
- Address and Residence Proof: You must submit both proof of address and proof of current residence.
- Accepted address proofs: Aadhaar card, Passport, Voter’s ID, or Driving License.
- Accepted residence proofs: Utility bills (electricity, gas, or telephone) or a bank statement. These documents must be no more than two months old.
- Passport-size photograph: A recent passport-size photograph is required for each partner.
- For foreign nationals/NRIs: In addition to their photograph, foreign partners must submit a notarized or apostilled copy of their passport and proof of overseas address. This proof should not be older than one year.
- Designated Partner Identification Number (DPIN): Each designated partner must have a DPIN. You can apply for this number during the incorporation process using Form FiLLiP.
- Digital Signature Certificate (DSC): A DSC for each designated partner is required for e-filing the documents. It is recommended to obtain a Class 3 DSC from a government-recognized agency.
Documents required for the LLP and its registered office
- Proof of Registered Office Address:
- If rented: A notarized rental agreement and a No Objection Certificate (NOC) from the landlord.
- If owned: A copy of the property deed.
- In all cases: A copy of a recent utility bill (electricity, water, or telephone) for the premises, not older than two months.
- LLP Agreement: This is a crucial document that outlines the roles, duties, and responsibilities of the partners. It must be prepared on a stamp paper with the appropriate stamp duty and filed within 30 days of the LLP’s incorporation.
- Form FiLLiP: The main incorporation form, which includes details about the proposed LLP, its partners, and the registered office.
- Subscriber Sheet: A legal document indicating the agreement of the initial partners to form the LLP.
- Consent of Partners (Form 9): A formal consent from partners to act as designated partners
